Business Counsel and Corporate Governance

Lisa advises start-ups and established businesses throughout each stage of the business life cycle. Her business-law practice includes forming corporations and limited liability companies; preparing organizational, ownership, and governance documents; maintaining corporate formalities; and advising on business growth, purchases, sales, and dissolution.

She drafts and negotiates commercial contracts, service agreements, vendor and customer agreements, employment agreements, and independent-contractor agreements. Drawing on her litigation experience, Lisa approaches contract drafting with close attention to clarity, enforceability, allocation of risk, and the practical realities of operating a business.

Lisa is also available to serve as outside counsel for the day-to-day legal questions that arise in business operations, helping clients address issues before they develop into more costly disputes.

Maryland Business and Civil Litigation

A substantial part of Lisa’s practice involves representing businesses and individuals in Maryland business litigation and civil disputes. She handles breach-of-contract matters at every stage, including early assessment of contractual rights and obligations, pre-suit negotiation and dispute resolution, and the prosecution or defense of claims in court.

Her experience includes owner and LLC member disputes, vendor and payment disputes, business-tort claims, commercial collection matters, and disputes arising from business and real-estate transactions. Lisa evaluates each matter through both a legal and commercial lens, helping clients assess litigation risk, pursue efficient resolutions where appropriate, and litigate when necessary to protect their interests.

Lisa’s litigation results include obtaining a judgment in a fraud action together with injunctive relief. She has also successfully defended a seller in litigation brought by a buyer alleging breach of a real-estate sale agreement. Her motions practice includes successfully pursuing and opposing motions to dismiss and discovery motions, including motions that resulted in evidence being excluded at trial.

Real Estate, Construction, and Commercial Disputes

Lisa represents property owners, businesses, and individuals in disputes involving residential and commercial real estate contracts. Her practice includes matters involving contracts of sale, property-management issues, subcontractor claims for work performed on real property or vehicles, and construction-related payment disputes.

She assists clients with negotiation and mediation involving property-management companies and other opposing parties. With an eye toward the costs and benefits of litigation, Lisa helps clients determine when a negotiated resolution best serves their objectives and when litigation is warranted. Lisa also has experience pursuing mechanics’ liens to protect clients’ rights to payment for construction-related work.

Counsel for Churches and Religious Organizations

Lisa works with Maryland churches and nonprofit religious organizations on corporate governance and property-related matters. She advises on organizational documents and Maryland law compliance and represents religious organizations in trustee and property disputes. Her work is guided by an appreciation for the legal, operational, and mission-based concerns that can arise within faith communities.
